Terms of Service

These Terms of Service ("Terms") form a binding legal agreement between you and Vouchlist (also doing business as "Vouchlist - Trusted Services," "we," "us," or "our") and govern your access to and use of the Vouchlist mobile application, website, and related services (collectively, the "Service"). Please read them carefully. They include important provisions that limit our liability, require disputes to be resolved through binding individual arbitration, and waive your right to participate in a class action.
1. Acceptance of These Terms
By creating an account, tapping a button indicating acceptance, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to all of these Terms, do not access or use the Service. Continued use of the Service following any change to these Terms constitutes acceptance of the revised Terms.
2. Eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) and capable of forming a binding contract to use the Service. As part of account creation, you will be asked to confirm your age through an in-app age gate; you must not bypass or falsify this confirmation. We do not offer child, teen, or parent-managed accounts.
The Service is operated from the United States and intended for users located in the United States. If you choose to access the Service from another jurisdiction, you do so on your own initiative and are solely responsible for compliance with applicable local laws. We reserve the right to limit availability of the Service to any person, geographic area, or jurisdiction.
3. Account Registration and Security
Accounts are created using phone-based one-time password (OTP) authentication. By providing your mobile phone number, you represent that you are authorized to use it and that you consent to receive verification messages from us or our service providers. Standard message and data rates may apply.
- Accuracy: You agree to provide accurate, current, and complete information when registering and to keep your profile, location, and contact information up to date.
- One account per person: You may maintain only one active account. You may not impersonate another person or business or misrepresent your affiliation with any individual or entity.
- Account security: You are responsible for safeguarding access to the phone number associated with your account and for all activity that occurs under your account. Notify us promptly at support@vouchlist.app if you believe your account has been accessed without your authorization.
- No transfer: Your account is personal to you and may not be sold, transferred, or assigned without our written consent.
4. The Service
Vouchlist is a private, network-based recommendation platform. You can add and maintain listings across multiple categories (currently Home Services — referred to in-app as "pros"; Food & Drinks — restaurants; and Travel — destinations) (collectively, "Listings"), post star-rated vouches (1–5 stars and free-text notes, optionally with structured details such as favorite dishes, favorite drinks, or must-see recommendations) ("Vouches"), and share Listings within private "Circles" you or other members own. We may add, remove, or modify Service categories and features at any time without notice.
5. User Content and License
"User Content" means any information you create, upload, post, transmit, or otherwise make available through the Service, including Listings, Vouches, written notes, ratings, photos, profile information, and Circle metadata. As between you and Vouchlist, you retain all ownership rights in your User Content.
By submitting User Content to the Service, you grant Vouchlist a worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to host, store, reproduce, modify (for example, to create thumbnails or technical reformats), display, perform, distribute, and otherwise use your User Content in connection with operating, providing, improving, marketing, and securing the Service. This license includes the right to sublicense to our service providers (for example, cloud hosting, image storage, and analytics vendors) solely so they can perform services on our behalf. The license persists for as long as your User Content remains on the Service, including, where applicable, after your account is deleted in copies retained for legitimate operational or legal purposes (for example, listings attributed to a former member, anti-abuse logs, or backups).
You represent and warrant that (a) you own or have all necessary rights, licenses, and consents to your User Content and to grant the license above; (b) your User Content does not violate any third party's intellectual property, privacy, publicity, or other rights; and (c) your User Content complies with these Terms and applicable law.
6. Acceptable Use
You agree not to, and not to permit any third party to, do any of the following in connection with the Service:
- Harass, threaten, bully, defame, stalk, intimidate, or otherwise harm another person, or post content that is hateful, obscene, sexually explicit, violent, or otherwise objectionable;
- Post false, misleading, or deceptive content, including fake or paid Vouches, sham Listings, or content intended to manipulate ratings;
- Impersonate another person or entity, misrepresent your relationship to a Listing, or create accounts using another person's phone number without authorization;
- Use the Service to send spam, chain messages, unsolicited commercial communications, or to advertise or solicit business outside the legitimate context of a Vouch or Listing;
- Scrape, crawl, harvest, or otherwise collect data from the Service by automated means, or attempt to access non-public portions of the Service;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent that applicable law expressly prohibits this restriction;
- Interfere with, disrupt, or place an unreasonable load on the Service or its underlying infrastructure, including by introducing viruses, malware, or other harmful code;
- Circumvent or attempt to circumvent any access control, rate limit, security measure, age gate, or block applied to your account or to other users;
- Use the Service in violation of any applicable law, regulation, or third-party right.
7. Vouches and Listings
Genuine experience required. Every Vouch you submit must reflect your honest, good-faith experience with the underlying Listing. You may not submit Vouches you have been paid or otherwise compensated to write unless that material connection is clearly disclosed within the Vouch itself, in accordance with the U.S. Federal Trade Commission Endorsement Guides (16 C.F.R. Part 255). Material connections include family or close personal relationships, business or employment relationships, and any compensation, free goods, or other benefit received.
User-generated content; no endorsement by Vouchlist. Listings and Vouches are created entirely by users. Vouchlist does not screen, license, certify, or vet the businesses, professionals, restaurants, destinations, or other third parties identified in Listings. Some Listings may display a verification badge reflecting limited platform-side checks (such as basic identity or business-record validation); a verification badge is not a guarantee of competence, safety, legality, quality, pricing, or fitness for a particular purpose, and does not create any relationship or warranty between Vouchlist and the verified party.
Moderation. We may, but are not obligated to, review, edit, refuse to display, or remove any User Content at our sole discretion, with or without notice, including content we believe violates these Terms, our community guidelines, or applicable law. We may also limit, suspend, or terminate access to specific features (including Circles, the ability to add Listings, or the ability to submit Vouches) for any reason consistent with these Terms.
8. Third-Party Providers, Businesses, and Destinations
You transact directly with third parties. The Service helps you discover and exchange recommendations about service professionals, restaurants, travel destinations, and other third parties. Any agreement, transaction, payment, reservation, booking, or other interaction you enter into with such a third party is solely between you and that third party. Vouchlist is not a party to those interactions, is not your agent, and does not act as a marketplace, broker, employer, contractor, licensor, escrow, or guarantor.
No vetting; no warranty. Except where we expressly state otherwise (for example, through a verification badge with documented scope), Vouchlist does not investigate, screen, vet, license, insure, or otherwise verify any third party listed in or referenced from the Service, including their identity, qualifications, licenses, insurance, background, reputation, pricing, availability, safety practices, food safety, or the quality, legality, or accuracy of any good, service, or destination they provide. Where a verification badge is displayed, it reflects only the specific checks we performed and is not a substitute for your own due diligence.
Your responsibility. You are solely responsible for evaluating whether to engage any third party identified through the Service. We strongly recommend that you independently verify licensing, insurance, references, and any other qualifications appropriate to the engagement; review applicable contracts, refund, cancellation, and safety policies; and use independent payment methods that provide consumer protection.
9. Circles and Privacy
Circles are private groups curated by their owner. When you publish a Listing or Vouch into a Circle, members of that Circle (and users who receive an independent shared copy through their own Circles) may view your name, profile photo, ratings, written notes, and other associated User Content. You are responsible for choosing who you invite into your Circles. For additional information about how we collect, use, and share your information, please review our Privacy Policy.
10. Blocking, Reporting, and Safety
You can block other users from within the app. Blocking is silent and mutual: blocked users' content is hidden from you and your content is hidden from them. You can also report Listings, Vouches, profiles, or other content for review by our team. We aim to review reports promptly and may take action including content removal, feature restriction, or account termination. Blocking and reporting are safety tools and are not substitutes for contacting law enforcement when appropriate.
11. Intellectual Property
The Service, including the Vouchlist name, logo, brand elements, software, source and object code, user interface designs, graphics, text (other than User Content), and the selection, arrangement, and aggregation of data within the Service, is owned by Vouchlist or its licensors and is protected by U.S. and international intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own non-commercial use. All rights not expressly granted to you are reserved.
We may produce aggregated, de-identified, or anonymized data and statistics derived from the Service and User Content, and we may use, license, and disclose such information for any lawful purpose. You retain ownership of your original User Content as described in Section 5.
12. Copyright and DMCA Policy
We respect intellectual property rights and respond to clear notices of alleged copyright infringement under the Digital Millennium Copyright Act ("DMCA"). If you believe content on the Service infringes your copyright, please send a notice to support@vouchlist.app with the subject line "DMCA Notice" that includes the information required by 17 U.S.C. § 512(c)(3). We may remove or disable access to content claimed to be infringing and may terminate accounts of repeat infringers in appropriate circumstances.
13. App Store and Google Play Provisions
If you obtained the Vouchlist application from the Apple App Store or Google Play, the following additional terms apply:
- Acknowledgment: These Terms are concluded between you and Vouchlist only, and not with Apple Inc. ("Apple") or Google LLC ("Google"). Vouchlist, not Apple or Google, is solely responsible for the application and its content.
- Maintenance and support: Apple and Google have no obligation to provide maintenance or support services for the application.
- Warranties: To the maximum extent permitted by applicable law, Apple and Google have no warranty obligations with respect to the application. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are the sole responsibility of Vouchlist.
- Product claims: Vouchlist, not Apple or Google, is responsible for addressing claims relating to the application or your use of it, including product liability claims, claims that the application fails to conform to applicable legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
- Intellectual property claims: In the event of any third-party claim that the application or your use of it infringes that third party's intellectual property rights, Vouchlist, not Apple or Google, will be solely responsible for the investigation, defense, settlement, and discharge of such claim.
- Legal compliance: You represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Third-party beneficiaries: Apple, Apple's subsidiaries, and Google are third-party beneficiaries of these Terms and may enforce them against you.
14. Termination and Account Deletion
By you. You may stop using the Service at any time and may delete your account from within the app's settings. Upon a valid deletion request, we will delete or de-identify your personal profile information in accordance with our Privacy Policy. Listings you created may remain on the Service and be re-attributed to "Former Member" (or similar generic identifier) so that recommendations relied upon by other Circle members are not silently removed. Vouches you wrote may be deleted, anonymized, or retained in de-identified aggregate form. Backups and operational logs may persist for a limited period.
By us. We may suspend, restrict, or terminate your account or your access to all or part of the Service at any time, with or without notice and with or without cause, including if we believe (in our reasonable judgment) that you have violated these Terms, created risk or possible legal exposure for us, or that termination is necessary to protect the Service or our users.
Sections 5 (license to User Content), 8 (third parties), 11 (intellectual property), 15 (disclaimers), 16 (limitation of liability), 17 (indemnification), 18 (dispute resolution), 19 (governing law), and 21 (miscellaneous) survive any termination or expiration of these Terms.
15. Disclaimers of Warranty
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, INCLUDING ALL USER CONTENT, LISTINGS, VOUCHES, RATINGS, VERIFICATION BADGES, AND THIRD-PARTY INFORMATION ACCESSED THROUGH IT, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VOUCHLIST AND ITS LICENSORS AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WITHOUT LIMITING THE FOREGOING, VOUCHLIST DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT ANY USER CONTENT, LISTING, RATING, OR THIRD-PARTY PROVIDER IS ACCURATE, RELIABLE, LICENSED, INSURED, SAFE, OR SUITABLE FOR YOUR NEEDS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VOUCHLIST OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF VOUCHLIST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOUCHLIST'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO VOUCHLIST FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL NOT LIMIT LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW (FOR EXAMPLE, GROSS NEGLIGENCE, FRAUD, OR INTENTIONAL MISCONDUCT, OR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE NOT EXCLUDABLE).
17. Indemnification
You agree to defend, indemnify, and hold harmless Vouchlist and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your access to or use of the Service; (b) your User Content; (c) your interactions or transactions with any third party encountered through the Service; (d) your breach of these Terms or violation of any applicable law or third-party right; or (e) any negligent or wrongful act or omission by you. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will reasonably cooperate with our defense.
18. Dispute Resolution; Binding Arbitration; Class Action Waiver
Please read this Section carefully. It affects your legal rights, including your right to bring claims in court or have disputes decided by a jury.
(a) Informal resolution. Before initiating any formal dispute, you and Vouchlist agree to attempt to resolve the dispute informally. You must first send a written notice describing the dispute and the relief requested to support@vouchlist.app. The parties will then engage in good-faith negotiations for at least sixty (60) days before either party may initiate arbitration.
(b) Agreement to arbitrate. Except as otherwise provided in this Section, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (the "AAA Rules"), as modified by these Terms. The arbitrator, and not any federal, state, or local court, has exclusive authority to resolve any Dispute, including the scope, enforceability, and arbitrability of these Terms. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
(c) Class action waiver. YOU AND VOUCHLIST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class action waiver is found to be unenforceable, then the entire agreement to arbitrate in this Section will be null and void as to the affected claims, which will instead proceed in court under Section 19.
(d) Small-claims carve-out. Either party may bring an individual action in small-claims court within the applicable jurisdictional limits of that court, in lieu of arbitration, so long as the action remains in small-claims court and is brought only on an individual (non-class, non-representative) basis.
(e) Arbitration procedure. The arbitration will be conducted by a single arbitrator. Unless you and Vouchlist agree otherwise, any in-person hearing will be held in the county where you reside, or by telephone or videoconference at your election. Claims of $10,000 or less may be resolved through documents-only arbitration unless the arbitrator determines an in-person or virtual hearing is necessary. The arbitrator will issue a reasoned written decision and may award any individualized relief authorized by applicable law, but may not award relief that affects users who are not parties to the arbitration. Judgment on the award may be entered in any court of competent jurisdiction.
(f) Fees. Vouchlist will pay all AAA filing, administrative, and arbitrator fees for any arbitration filed by a consumer in accordance with the AAA Rules to the extent required by those rules and applicable law. If the arbitrator determines the claims are frivolous or were brought for an improper purpose, the parties may be required to reimburse Vouchlist for fees in accordance with the AAA Rules.
(g) 30-day right to opt out. You may opt out of this Section 18 by sending written notice of your decision to opt out to support@vouchlist.app with the subject line "Arbitration Opt-Out" within thirty (30) days of the date you first accept these Terms. Your notice must include your full name, the phone number associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other portion of these Terms.
(h) Severability; survival. If any portion of this Section is found to be unenforceable, that portion will be severed and the remainder will continue in effect, except that if the class action waiver in subsection (c) is found unenforceable as to any claim, the consequence set forth there will apply. This Section will survive any termination of these Terms or your account.
19. Governing Law and Venue
These Terms and any Dispute will be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict-of-laws principles, and by applicable U.S. federal law. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 18, any judicial proceeding permitted under these Terms (including small-claims actions outside the small-claims carve-out, actions to compel arbitration, or actions to enforce an arbitration award) will be brought exclusively in the state or federal courts located in King County, Washington, and each party irrevocably consents to the personal jurisdiction and venue of those courts.
20. Changes to These Terms
We may modify these Terms from time to time. For material changes — including changes to the arbitration provision, the limitation of liability, the license you grant to your User Content, or other provisions that materially affect your rights or obligations — we will provide reasonable advance notice through a prominent in-app notice and, where we have it on file, by email, before the change takes effect. Non-material changes (such as clarifications, formatting, contact-information updates, or corrections) may take effect upon posting. The "Last updated" date above identifies the most recent revision. Your continued use of the Service after a change becomes effective constitutes your acceptance of the revised Terms; if you do not agree, you must stop using the Service and may delete your account.
21. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy and any other policies referenced from within the Service, constitute the entire agreement between you and Vouchlist regarding the Service and supersede any prior or contemporaneous understandings on that subject.
Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce that or any other provision later.
Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
Notices. Notices to you may be provided by in-app notification, email to the address you have provided (if any), or posting within the Service. Notices to us must be sent to support@vouchlist.app.
Relationship. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Vouchlist.
Headings. Section headings are for convenience only and have no legal effect.
22. California Consumer Notice
Under California Civil Code Section 1789.3, California residents are entitled to the following consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
